Terms of Service
Last updated: 1 July 2025 · Drita Collective Pty Ltd · ABN 83 703 609 063 · Melbourne VIC, Australia
These Terms of Service set out the basis on which Drita Collective Pty Ltd provides professional business and consulting services and operates this website. Please read them carefully before engaging our services.
1. About These Terms
These Terms of Service (the “Terms”) form the agreement between you and Drita Collective Pty Ltd ABN 83 703 609 063 (“Drita Collective”, “we”, “us” or “our”). They govern your access to and use of the website located at https://dritacollective.online (the “Website”) and any professional business and consulting services we supply to you. By browsing the Website, submitting an enquiry or quotation request, or accepting an engagement with us, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with these Terms, you must stop using the Website and must not engage our services.
These Terms should be read together with our Privacy Policy. Where a separate signed proposal, quotation or statement of work applies to a particular engagement, that document prevails over these Terms to the extent of any inconsistency, for that engagement only.
2. Who We Are
Drita Collective Pty Ltd is a company incorporated in Victoria, Australia, holding Australian Business Number 83 703 609 063. We operate from Melbourne VIC and provide professional business and consulting services to small businesses, sole traders and organisations across Australia. References in these Terms to “we”, “us” and “our” are references to Drita Collective Pty Ltd.
3. Our Services
We provide professional business and consulting services, which may include business planning and strategy support, operational and process reviews, administrative and documentation support, market and competitor research summaries, reporting assistance and advisory sessions. The precise services, deliverables, milestones, assumptions and fees for each engagement are set out in a written quotation, proposal or statement of work accepted by both parties (an “Engagement Document”). Services described on the Website are illustrative only; the scope of any engagement is determined solely by the applicable Engagement Document.
4. Quotations and Engagement
- 4.1 Quotations issued by us are valid for thirty (30) days from their date of issue unless the quotation states otherwise.
- 4.2 An engagement commences only when you accept a quotation or Engagement Document in writing (which may be by email) and, where a deposit or commencement fee is specified, that amount has been received by us.
- 4.3 Indicative figures, timelines or outcomes discussed before a written quotation is issued, or published on the Website, are estimates only and are not binding.
- 4.4 Each quotation is prepared on the basis of the information you provide. If that information proves incomplete or inaccurate, we may revise the quotation before proceeding.
5. Fees, Invoicing and Payment
- 5.1 All fees are quoted and payable in Australian dollars (AUD).
- 5.2 Amounts are exclusive of goods and services tax (GST) unless expressly stated otherwise. Where GST applies to a supply, it will be added to the relevant invoice in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth).
- 5.3 Unless an Engagement Document specifies otherwise, invoices are payable within fourteen (14) days of the invoice date using the payment methods shown on the invoice.
- 5.4 If an invoice remains unpaid after its due date, we may suspend performance of the services until the overdue amounts are paid, and we may recover from you reasonable costs we incur in collecting the overdue amounts, to the extent permitted by law.
- 5.5 Deposits or commencement fees are non-refundable except where required by law or stated otherwise in the applicable Engagement Document.
- 5.6 You must pay invoices without set-off or deduction unless required by law.
6. Variations to Scope
If you request a change to the agreed scope, we will assess the request and confirm any resulting change to fees, deliverables or timelines in a written variation. Variation work will not proceed, and additional fees will not be payable, until the variation has been agreed in writing by both parties.
7. Client Responsibilities
You agree to:
- provide accurate, complete and timely information, records, systems access and other materials reasonably required for us to perform the services;
- ensure you own, or hold all necessary rights and permissions for, any material you supply to us;
- nominate an authorised representative who can provide instructions and approvals promptly; and
- review deliverables and provide consolidated feedback within any review period stated in the Engagement Document.
Delays caused by missing information, late approvals or other matters outside our reasonable control may affect timelines, and we are not liable for such delays.
8. Deliverables, Review and Revisions
Deliverables will be prepared with due care and skill and in accordance with the Engagement Document. You may request correction of errors or omissions during the review period stated in the Engagement Document. The number of revision rounds included in the fees (if any) will be set out in the Engagement Document; further revisions may be treated as a variation under clause 6. Written approval of a deliverable, or the absence of substantive comment by the end of an agreed review period, constitutes acceptance of that deliverable.
9. Intellectual Property
- 9.1 Subject to receipt of all fees due for an engagement, you acquire ownership of the final versions of deliverables created specifically for you under that engagement.
- 9.2 We retain ownership of our pre-existing materials, templates, frameworks, methodologies, know-how and tools. To the extent any of these are embedded in a deliverable, we grant you a non-exclusive, perpetual, royalty-free licence to use them as part of that deliverable for your ordinary business purposes.
- 9.3 You warrant that materials you supply to us do not infringe the intellectual property or other rights of any person, and you indemnify us against claims, losses and expenses arising from materials you supply.
- 9.4 We will not publish your name, branding, confidential information or case studies referring to your business without your prior written consent.
10. Confidentiality
Each party must keep confidential all non-public information obtained from the other party in connection with an engagement, use it only for the purposes of the engagement, and protect it with reasonable care. These obligations do not apply to information that is or becomes public other than through a breach of these Terms, was already lawfully known to the receiving party, is independently developed, or must be disclosed by law or to a regulator, or to professional advisers who owe a duty of confidentiality.
11. Nature of Advice
Our services provide general business and consulting guidance. Nothing we provide constitutes legal advice, financial product advice, credit advice, taxation or accounting advice, or any other regulated professional advice. You remain responsible for your business decisions and should obtain advice from appropriately licensed or registered professionals before acting on our recommendations. Any figures, projections or forecasts we prepare are estimates based on the information and assumptions you and we agree upon, and actual results may differ.
12. Australian Consumer Law Guarantees
Our services come with guarantees under the Australian Consumer Law that cannot be excluded, including that the services will be rendered with due care and skill and will be reasonably fit for any purpose you made known to us. Where you acquire our services as a consumer within the meaning of the Australian Consumer Law, those guarantees apply in addition to these Terms.
13. Limitation of Liability
To the maximum extent permitted by law, and except as set out in clause 12:
- (a) we are not liable to you for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or data, however caused;
- (b) subject to paragraph (a), our total aggregate liability arising out of or in connection with an engagement or these Terms is limited to the fees you actually paid to us for the services giving rise to the liability; and
- (c) where liability under a consumer guarantee cannot be excluded but can be limited, our liability is limited, at our election where permitted, to re-supplying the services or paying the cost of having the services re-supplied.
This clause does not limit any liability that cannot be limited by law, including liability for failing to comply with a consumer guarantee that cannot be excluded, or liability for fraud.
14. Third-Party Tools and Links
In performing the services we may use third-party software, platforms and subscription tools. Those tools are governed by their own terms, and we are not responsible for their availability, content or the conduct of third parties. The Website may contain links to third-party websites for convenience only; a link is not an endorsement, and we are not responsible for the content of third-party websites.
15. Suspension and Termination
Either party may terminate an engagement:
- for convenience, on fourteen (14) days’ written notice, in which case you remain liable for fees for services performed (and reasonable committed costs) up to the termination date; or
- immediately by written notice, if the other party commits a material breach that is not remedied within fourteen (14) days of written notice of the breach, or becomes insolvent, enters external administration, or ceases to carry on business.
On termination or expiry of an engagement, you must pay all amounts owing for work performed, and we will hand over completed deliverables for which you have paid, to the extent practicable. Clauses that by their nature survive termination (including intellectual property, confidentiality, liability and governing law) continue to apply.
16. Use of This Website
You may access and view the Website, and print or download extracts, for your own lawful business or personal use. You must not:
- use the Website for any unlawful purpose or in a way that breaches these Terms;
- copy, scrape, systematically download, republish or resell content from the Website without our prior written consent;
- interfere with, damage or attempt to gain unauthorised access to the Website, its hosting infrastructure or related systems;
- introduce or transmit viruses, malware or other harmful code; or
- misrepresent your identity or your affiliation with any person.
All content on the Website, including text, graphics and layout, is owned by or licensed to Drita Collective Pty Ltd and is protected by Australian and international copyright law.
17. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). The Privacy Policy forms part of these Terms.
18. Dispute Resolution
If a dispute arises in connection with these Terms or an engagement, the parties must first attempt to resolve it by good-faith discussion between nominated representatives. If the dispute is not resolved within twenty-eight (28) days of written notice of the dispute, the parties agree to submit the dispute to mediation before commencing court proceedings, except where urgent injunctive or other interim relief is required.
19. Governing Law
These Terms and any engagement are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
20. General Provisions
- 20.1 Entire agreement: these Terms and the applicable Engagement Document contain the entire agreement between the parties concerning the relevant engagement and supersede earlier discussions.
- 20.2 Severability: if any provision is held invalid or unenforceable, the remaining provisions continue in force.
- 20.3 Waiver: a failure or delay in exercising a right is not a waiver of that right.
- 20.4 Assignment: you may not assign your rights or obligations without our prior written consent. We may assign our rights and obligations as part of a genuine restructure or transfer of the business, on written notice to you.
- 20.5 Notices: notices under these Terms must be in writing and may be sent by email to ceo@dritacollective.online (for notices to us) or to the email address you provide to us (for notices to you).
21. Changes to These Terms
We may update these Terms from time to time. The current version is published on this page together with the date of the latest revision. Changes take effect for use of the Website from the date of publication. For engagements, the version of these Terms current on the date the Engagement Document is accepted continues to apply, unless the parties agree in writing to adopt an updated version.
